Terms of use

Last updated 12 October 2026

These terms are an agreement between Vaedi Limited ("we") and the organisation or person using ComplyNG ("you"). By creating an account or using the service you accept them.

What the service is

ComplyNG is a tool for preparing for the Nigeria Data Protection Act and e-invoicing requirements: a readiness assessment, task tracking, document drafts, reports, and AI agents that propose actions. It is new and offered as a pilot, so features may change.

What it is not

  • It is not legal advice, an audit, a certification or a regulator's opinion.
  • Using it does not make an organisation compliant, and nothing it produces should be described as proof of compliance.
  • The e-invoicing check prepares and checks data. It does not file invoices with a tax authority.

Always have a qualified person, such as a data protection officer or a licensed practitioner, review what matters before you rely on it.

People stay in control

Agents only propose. Nothing is created, changed or approved until a person with the right role approves it. When you approve something you are responsible for it, including a document sealed with open gaps. A seal records who approved a document and when; it is not an endorsement by us.

Your responsibilities

  • Keep your sign-in secure, and turn on an authenticator app where you can.
  • Give people only the role they need, and remove access when someone leaves.
  • Do not enter names or identity numbers of individuals, or anything you have no right to use.
  • Only connect an AWS or Microsoft 365 account that you are authorised to connect. Connections are read-only, and you can remove them at any time.
  • Do not attack, overload or probe the service, or try to reach another organisation's data. If you find a weakness, please tell us at the address below.
  • Use the service lawfully.

Your data

Your organisation owns its working data. We use it only to provide the service, as described in our privacy notice. You can reset or delete your organisation's data in the service, and ask us to help with an export.

Availability and changes

We work to keep the service available and secure but do not promise it will be uninterrupted or error free, especially during the pilot. We may change or withdraw features, and will give reasonable notice of changes that matter to you.

Limits of our responsibility

To the extent the law allows, the service is provided as it is, and we are not liable for indirect or consequential loss, or for decisions you make based on its output. Nothing in these terms limits liability that cannot lawfully be limited.

Ending the agreement

You can stop using the service at any time. We may suspend or end access if these terms are broken or to protect the service or other users. On ending, your organisation's data is deleted from the live service on our normal schedule unless the law requires us to keep it.
